Terms of Use

Flow Legal is a technology platform that helps organisations manage their legal and regulatory obligations (the "Platform"). The Platform is operated by All My Legal Ltd ("us", "we" or "Company"), with address at 21a Larcom Street, London, SE17 1NJ.

We are not a law firm, are not regulated by the Solicitors Regulation Authority, and do not provide regulated legal services or carry out any reserved legal activities. Use of the Platform does not create a solicitor-client relationship.

While we agree to take reasonable steps to protect your confidential data (e.g. commercial agreement, payment terms, business model, etc.), your relationship with us is not legally privileged in the way it would be if you were working with a regulated legal professional.

General

Access to the Platform is provided and managed by Company.

We reserve the right to restrict access to the Platform to users that breach these Terms or whose use of the Platform does not align to its intended purpose.

We are not liable for websites, contents or links provided or embedded by other users of the Platform.

This Platform is not intended for use by anyone under the age of 18. You must be 18 years of age or older to use this Platform.

These terms constitute the entire agreement between us. We reserve the right to make changes to these terms.

Subscriptions and Payments

Some features may require you to purchase a paid subscription ("Paid Features"). Details of the fees and benefits will be made clear at the point of purchase.

If you sign up for Paid Features, you must provide complete and accurate billing and payment information. We may change our pricing from time to time; if we make any changes to the subscription price, we will notify you in advance of your next subscription cycle. If you do not agree to the new price, you may cancel your subscription.

Subscriptions automatically renew at the end of the initial subscription period. You may cancel your subscription at any time before the next subscription cycle begins.

Confidentiality

We will take reasonable steps to protect confidential information submitted through the Platform. However, communications via the Platform are not protected by legal professional privilege.

Content

You are ultimately responsible for any content you upload to the Platform, including any messages, documents or files that are uploaded.

You must ensure you have the right to use the content and you provide us with a non-exclusive licence to use the content in connection with your use of the Platform.

We do not claim any ownership over any content you upload to the Platform, and we accept no liability for any claims relating to any user content.

We reserve the right to remove or modify any content submitted to the Platform where it breaches these Terms or when we have reasonable grounds to believe the content might breach these Terms.

If you have any concerns about the content provided by another user, please contact us and we will take appropriate steps to review the content.

AI Features

The Platform contains features that are powered by artificial intelligence (the "AI Features").

While we take reasonable measures to ensure the accuracy, performance and reliability of the AI Features, you acknowledge that:

  • AI Features may not always produce the same results;
  • The output generated by AI Features may not be accurate or reliable;
  • You will validate and review all output generated by the AI Features; and
  • You will not rely on the outputs as the sole source of truth or a replacement for professional advice.

We do not use your inputs or outputs for any purpose other than to provide access to the Platform.

We do not claim ownership over any outputs generated by the AI Features. To the extent permitted by law, we assign you all outputs generated by the AI Features.

You allow us to use your inputs or the outputs for the purpose of improving the Platform and our services.

Acceptable Use

You agree to use the Platform for lawful purposes only and you may not use the Platform:

  • To process, send or store material which is harassing, obscene, defamatory, or otherwise unlawful;
  • To interfere with the normal operation of the Platform;
  • To impersonate any person or entity, or to falsely state or otherwise misrepresent your affiliation with a person or entity;
  • To modify, adapt, translate, or develop derivative works based on the Platform or to build similar or competing products;
  • To send chain letters or unsolicited advertising; or
  • In any way that violates any applicable law or regulations.

We may monitor usage of the Platform to ensure compliance with these terms. Failure to comply with these terms may result in your access to the Platform being restricted or terminated.

Intellectual Property

The Platform remains property of the Company or its third-party licensors or providers. Use of the Platform does not grant you any right, title, or interest in any Company trademarks, logos, or other brand features.

You may not sell, resell, distribute, host, lease, licence, sublicense, copy or republish any aspect of the Platform.

If you provide any feedback about the Platform, this shall be deemed to be non-confidential and non-proprietary, and we can use such information on an unrestricted basis.

Legal Disclaimer

The Platform is provided on an "as is" basis.

We do not warrant that:

  • Documents generated will be legally sufficient for your specific circumstances;
  • The Platform guarantees compliance with all applicable laws or regulatory requirements; or
  • The Platform will be uninterrupted or error-free.

You are responsible for determining whether documents generated through the Platform are appropriate for your business and regulatory context.

Liability

Nothing in these Terms excludes liability for:

  • Death or personal injury caused by negligence;
  • Fraud or fraudulent misrepresentation; or
  • Any liability which cannot legally be excluded.

Subject to the above, we shall not be liable for any loss of profit; loss of revenue; loss of business; loss of goodwill; business interruption; loss of anticipated savings; or any other indirect or consequential loss arising from your use of the Platform.

Our total aggregate liability arising out of or in connection with the Platform shall not exceed the total fees paid by you in the 12 months preceding the claim.

We shall only be liable for loss directly caused by our breach and not for loss resulting from inaccurate information provided by you; your failure to review outputs; or your failure to obtain independent advice.

Indemnity

You agree to indemnify and hold us harmless for any harm or damage we incur arising from your use of the Platform and any breach of these Terms.

Governing Law

These terms are governed by the laws of England and Wales; and any disputes shall be subject to the exclusive jurisdiction of the English courts.
